Honesty is the best policy. Something like this but it would nice of you to be more specific to your set of facts. Also it kinda depends if you are seeking to break off the relationship but want to continue with the business and be a sole proprietor or if you are leaving it to them.
If you are keeping the business:
“Hey xyz, I’m sure as you can tell things aren’t going the best between us right now. Recently I’ve been reflecting what I can do on my end to make this work, but I’ve exhausted every avenue to do so now and there has been no change. After consulting my family/partner I’ve come to the conclusion we are going to have to go our separate ways. I plan to buy you out of your position in the company so please let me know what you think would be an adequate amount to make you okay with this ending OR I plan to assume full control of the business, I have put in all the money and sweat equity to make this work and hopefully you understand so that we can leave each other on good terms.”
If you plan to let them have the business:
“Hey xyz, I’ve been doing a lot of thinking lately about the future of xyz. After a lot of considerations and speaking to those close to me for advice, I think it is better if I move onto something I’m more passionate about and will be happy. I’ll be handing over the reigns to you and I wish nothing but the best for the future of the company and I know you are ready to do this on your own.”
